Goldsky Resources Corp. has completed the previously announced acquisition of the Nordic business unit of Elemental Royalty Corporation, giving it ownership of Elemental’s regional infrastructure in northern Sweden, exploration equipment and the Nordic technical team. The deal was originally agreed on May 30, 2025 and requires staged payments of 3,247,000 SEK (≈USD 360,000) over two years, split equally between cash and Goldsky shares, with the first tranche already settled at closing.

Elemental will retain a 1 % net smelter return (NSR) royalty on any projects organically generated by Goldsky in Sweden and Finland over the next five years, preserving exposure to future discoveries, while keeping its existing Nordic royalty portfolio, mineral properties and permits. Shares issued in the transaction are subject to a statutory four-month hold under Canadian law.
